The following describes the terms on which Klein Design Inc. offers you our products and services. By submitting your videotape or film and/or agreeing to use our services, you accept the terms and conditions below and agree that transfer of the material submitted does not constitute a violation of applicable copyright laws.
1. Customer Content
Klein Design Inc. is not responsible for the content of any of its products and the views expressed in the customer content are the responsibility of the customer and not Klein Design Inc. We (Klein Design Inc.) reserve the right to refuse any customer due to inappropriate content. Klein Design Inc. provides quality services but makes no implied or express warranties about the reliability of our services. Klein Design Inc. is not responsible for any damage caused by loss of access to or deletion or alteration of content. Customers are responsible for monitoring and creating backups of their material.
The following is a not-exclusive list of actions and content that are not permitted: use of copyrighted material without the express permission of the owner, use of material that is likely to infringe upon the copyright of third parties, material that encroaches the rights of others, including expressions on bigotry, racism, or hatred, material that is perceived by Klein Design Inc. as abusive, deceptive, profane, slanderous, offensive or inappropriate, including material that violates any laws or regulations of any governing body with jurisdiction over Klein Design Inc. and its users.
It is the policy of Klein Design Inc. to report suspected illegal activities to law enforcement agencies and to cooperate fully with their investigation.
2. Copyrighted Material
All material provided by Klein Design Inc. including, without limitation, text, software, photos, video, graphics, music and sound, are protected by Canadian and international copyright laws, both as individual works and as a collection. The use of copyrighted materials provided by Klein Design Inc. is allowed by customers for personal use. Customers may not copy, reproduce, retransmit, distribute, publish, commercially exploit or otherwise transfer any such copyrighted material in any format, electronic or otherwise.
3. Limitation of Liability and Warranty
The media supplied by Klein Design Inc. is warranted for 30 days from shipment/delivery to customers for physical defects. Use of our services and products is entirely at the customer’s own risk. Neither Klein Design Inc. nor any third-party content or service provider makes any warranty with respect to any content, information, services or products provided through or in conjunction with Klein Design Inc.
The customer specifically agrees that Klein Design Inc. is not liable for any conduct by customers associated with our services and products, including, but not limited to, videotape content. We (Klein Design Inc.) makes no guarantee of the accuracy, correctness or completeness of any information, service or product and are not responsible for any errors or omissions arising from the use of such information; any failures, delays or interruptions in the delivery of any content or services contained within the material; or losses or damages arising form the use of the content or services provided by Klein Design Inc.
Klein Design Inc. is not liable for loss of or damage to customer-provided material, even if loss or damage is due to negligence on the part of Klein Design Inc. This provision notwithstanding, the customer agrees that in the event that Klein Design Inc. is ruled to be financially responsible for loss of or damage to customer-provided, material, Klein Design Inc.’s liability will be limited to the replacement cost of equivalent blank media or the cost of the service provided by Klein Design Inc., whichever is less.
The customer agrees that Klein Design Inc. is not liable for loss of or damage to customer-provided material during shipment through means other than Klein Design Inc. courier service (such as the postal service etc…). The customer is responsible for requesting and paying all fees associated with insuring the shipment of customer-provided materials.
4. Indemnity by Customer
The customer agrees to indemnify Klein Design Inc. against any and all claims and expenses, including lawyer’s fees, arising form the customer’s use of our services and products. This expressly includes claims or any and all liability arising form the violation or infringement of proprietary rights or copyrights.
5. Merger Clause
This agreement constitutes the entire agreement between the parties with respect to the subject matter contained herein and supersedes and other agreement, proposals and communications, written or oral, between Klein Design Inc. representatives and the customer. Klein Design Inc. may amend this Agreement at any time with notice from Klein Design Inc. to the customer as published on our website.
